Lateral Attorney – Corporate & Business Transactions

Joseph, Greenwald & Laake, P.A., a well-established and growing law firm, is seeking a lateral attorney to join our team in our Corporate & Business Transactions practice.

The ideal candidate will have:

• A portable book of business
• Significant experience handling corporate, transactional, and business matters
• Strong client relationships and a demonstrated ability to generate and sustain work
• Excellent analytical, negotiation, and communication skills

Job duties include, but are not limited to:

• Advise clients on a wide range of corporate and business transactions.
• Draft, negotiate, and review transactional documents.
• Conduct legal due diligence, identify transactional risks, and provide practical recommendations to support deal structure and negotiation strategy.
• Counsel clients on corporate governance matters, entity formation, restructuring, and ongoing compliance with federal, state, and local laws.
• Coordinate and manage all phases of transactions from initial structuring through closing and post-closing integration.
• Provide ongoing business-oriented legal advice to corporate clients on commercial contracts, risk management, and operational matters related to their transactional activities.
